Welcome to MedMinded. These Terms of Service ("Terms") govern your access to and use of MedMinded's websites, mobile applications, and other services provided by MedMinded Inc., a Delaware company ("we," "us," or "our"). MedMinded offers resources tailored for healthcare professionals and students, including personalized information, medical news, clinical support and research tools, and educational content (collectively referred to as the "Services").

By using our Services, you agree to comply with these Terms, whether or not you are a registered user of MedMinded. This agreement forms a binding contract between you and MedMinded. If you do not accept these Terms, please do not use our Services.

You will also need to create an account password.

  • Accuracy: You affirm that all Registration Information you provide is true, accurate, current, and complete. You are responsible for maintaining and promptly updating your Registration Information to keep it accurate and current.
  • Account Security: You are responsible for safeguarding your account password. Do not share your credentials with anyone else. If you suspect unauthorized use of your account, immediately change your password and notify us for assistance.
  • Responsibility for Activities: You are accountable for all activities conducted through your account. Unauthorized use of your account could result in liability for actions taken under your credentials.
  • Verification: We may verify the accuracy of the Registration Information you provide. If we identify discrepancies or false information, we reserve the right to suspend or terminate your account.

Failure to provide accurate information or maintain the confidentiality of your account details may result in restricted access to the Services or termination of your account. MedMinded is not liable for any loss or damage arising from your failure to comply with these obligations.

2. Use of the Services

MedMinded provides digital tools and resources designed for educational and informational purposes for healthcare professionals, researchers, educators, and students. By using our Services, you agree to the following terms:

    General Use
    • Educational Purpose: Our Services are intended to support your professional development and decision-making by providing access to medical news, reference materials, and clinical and research tools. The information and tools available through our Services are not a substitute for clinical judgment or professional medical advice, diagnosis, or treatment.
    • Not for Medical Diagnosis or Treatment: You must not use MedMinded's Services to create a physician/patient relationship, to make medical diagnoses, or to treat patients. The Services are not designed to provide certainty in diagnosis or to recommend specific treatments.
    • Professional Responsibility: You are responsible for interpreting and applying the information from the Services in the context of your professional judgment and in compliance with all applicable laws and standards of medical practice in your jurisdiction.
    Fair Use of Unlimited Functionality

    MedMinded employs the term "Unlimited" in its offerings to signify that we do not impose arbitrary restrictions on the use of the service. However, to maintain the integrity, performance, and reliability of our system, and to ensure equitable access for all users, certain fair usage constraints apply:

    • General Rate Limiting: Unlimited chats and data storage are subject to reasonable rate limits designed to prevent excessive strain on system resources. Automated or non-human interactions are prohibited.
    • Data Storage Limits: Storage capacity is limited during the free Beta period. Please contact support@medminded.ai to discuss increased needs.
    Prohibited Activities

    To ensure fair use and system reliability, the following activities are strictly prohibited:

    • Automated or scripted use.
    • Any action that degrades the performance or functionality of the Services for others.
    • Reselling, sublicensing, or otherwise commercializing the Services without explicit written consent from MedMinded.

MedMinded reserves the right to monitor usage and take appropriate action if misuse or violation of this policy is detected, including issuing warnings, temporary suspension, or termination of access.

    Restrictions on Use

    You agree not to:

    • Misuse the Services: Avoid using the Services in a way that is harmful, unlawful, or disruptive. Specifically, you must not:
      1. Access or attempt to access areas of the Services not intended for general use.
      2. Use any software, tool, or device to scrape or search the Services beyond standard web browser capabilities.
      3. Post or transmit harmful, misleading, or offensive content.
      4. Forge headers or manipulate identifiers to disguise the origin of content.
      5. Impersonate others or misrepresent your affiliation.
      6. Harvest or collect information about other users without their consent.
      7. Interfere with or disrupt the functioning of the Services.

    • Follow Legal and Ethical Standards: Ensure that your use of the Services complies with all relevant laws and ethical guidelines applicable to your professional practice.

    • Monitor user activity to ensure compliance with these Terms.
    • Investigate potential violations and take appropriate action, including removing content or terminating access to the Services.
    • Edit or remove any content that violates these Terms or is otherwise objectionable.
    Acknowledgment

    By using the Services, you acknowledge and agree that:

    • The Services are provided "as-is" and "as available," without any warranties of accuracy or suitability for any specific purpose.
    • MedMinded is not responsible for any decisions you make based on the information provided through the Services.

3. Proprietary Rights

Ownership of Services

All content, software, and technology provided through MedMinded, including text, graphics, logos, images, audio, video, and software (collectively "MedMinded Content"), are the property of MedMinded Inc. or its licensors. This content is protected by copyright, trademark, and other intellectual property laws. You acknowledge that you do not acquire any ownership rights by using our Services.

License to Use

MedMinded grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services and MedMinded Content solely for your personal and professional use, in accordance with these Terms. This license does not allow you to:

  • Modify or Create Derivatives: Modify, adapt, or create derivative works based on the MedMinded Content.
  • Distribute or Commercialize: Reproduce, distribute, or sell the MedMinded Content in any form or medium.
  • Public Display: Publicly display or perform the MedMinded Content without explicit permission.
  • Reverse Engineer: Attempt to reverse engineer or extract the source code of any software used in the Services.
  • Train AI Models: Use output for the training and development of competing medical artificial intelligence models.
Feedback and Contributions

If you provide feedback, suggestions, or contributions regarding the Services ("Feedback"), you grant MedMinded a non-exclusive, perpetual, irrevocable, royalty-free license to use, modify, and incorporate your Feedback into the Services without any obligation to you. MedMinded is not required to credit or compensate you for your Feedback.

Reservation of Rights

All rights not expressly granted to you in these Terms are reserved by MedMinded and its licensors. No implied licenses are granted under these Terms.

Trademarks

"MedMinded" and all related names, logos, product and service names, designs, and slogans are trademarks of MedMinded. You may not use such marks without prior written permission. All other names, logos, product and service names, designs, and slogans appearing on the Services are the trademarks of their respective owners.

4. User Responsibilities for Uploaded Content

  • By uploading content to the Services, you represent and warrant that you:
    1. Own the rights to the content, or
    2. Have obtained proper authorization or legal rights to upload and use the content with the Services for your personal use (i.e. through lawful purchase or acquisition of the material)
  • You are solely responsible for ensuring that your use of uploaded content complies with all applicable copyright laws and regulations.
  • The Service does not monitor or review uploaded content. However, we reserve the right to take action, including removal, if notified of potential violations.
  • The Service Provider is not liable for any copyright infringement resulting from user-uploaded content.

7. Termination and Modification

Termination by MedMinded

MedMinded reserves the right to suspend or terminate your access to our Services at any time, with or without notice, for reasons including, but not limited to:

  • Violations of Terms: Breaching these Terms of Service or any other policies or agreements related to the use of our Services.
  • Legal Requirements: Complying with legal obligations, court orders, or requests from government authorities.
  • User Request: Acting upon your request to deactivate or terminate your account.
  • Changes to Services: Discontinuing or materially altering the Services or any portion thereof.
  • Security Issues: Addressing security or technical issues that may pose a risk to the integrity of the Services or the safety of our users.
  • Fraudulent Activity: Engaging in fraudulent, illegal, or otherwise harmful activities.
Effects of Termination

Upon termination of your access to the Services:

  • Account Deactivation: Your account will be deactivated, and you will no longer have access to your account or any content associated with it.
  • Content Removal: MedMinded may delete any content you have uploaded or shared through the Services. It is your responsibility to back up your content if you wish to retain it.
  • No Liability: MedMinded is not liable to you or any third party for any termination of your access or removal of your content.
Modification of Services

MedMinded may modify or discontinue any aspect of the Services at any time, including:

  • Service Features: Changing, adding, or removing features and functionalities of the Services.
  • Terms Update: Updating these Terms to reflect changes in the Services, legal requirements, or business practices.

  • Liability Cap: In no event shall MedMinded’s total liability to you for all claims, whether in contract, tort, or otherwise, exceed the amount paid by you, if any, for accessing the Services or $100, whichever is less.

Scope of Liability

To the maximum extent permitted by law, MedMinded Inc. ("MedMinded") and its affiliates, licensors, suppliers, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the MedMinded Services, including but not limited to:

  • Loss of Profits or Revenue: Any loss of profits, revenue, business opportunities, or anticipated savings.
  • Data Loss: Any loss of data, including the cost of recovering or reproducing lost data.
  • Goodwill and Reputation: Any loss of goodwill or business reputation.
  • Service Interruptions: Any interruptions, delays, or failures in the operation of the Services.
Total Liability Cap

MedMinded's total cumulative liability to you or any third party for any claims arising out of or related to these Terms or your use of the Services shall not exceed:

  • Subscription Fees Paid: The amount you have paid to MedMinded for access to the Services in the 12 months preceding the event giving rise to the liability.
  • Fixed Cap: $100, whichever is less.
Exclusions and Exceptions

These limitations of liability apply to all claims, whether based on warranty, contract, statute, tort (including negligence), or any other legal theory, and regardless of whether MedMinded has been advised of the possibility of such damages.

However, these limitations do not apply to:

  • Intentional Misconduct: Damages arising from MedMinded’s intentional or willful misconduct.
  • Breach of Confidentiality: Breaches related to the confidentiality and security of your data due to MedMinded’s gross negligence.
Assumption of Risk

By using the Services, you acknowledge and agree that:

  • Risk of Use: You are using the Services at your own risk. You are responsible for implementing sufficient procedures to satisfy your requirements for data accuracy, privacy, and security.
  • Professional Judgment: You will exercise your own professional judgment in evaluating and applying the information obtained through the Services.
Jurisdictional Variations

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you. In such cases, MedMinded’s liability will be limited to the fullest extent permitted by applicable law.

11. International Users Clause

MedMinded's Services are accessible internationally. Users outside the United States acknowledge that MedMinded complies exclusively with U.S. federal and state laws and regulations. You are responsible for ensuring your use of the Services complies with local laws applicable in your jurisdiction. By accessing our Services, you consent to the transfer, processing, and storage of your data within the United States, which may differ from data protection laws in your country.

12. Dispute Resolution, Arbitration, and Class Action Waiver

Binding Arbitration: You agree that any disputes arising from or relating to these Terms or your use of the Services shall be resolved through confidential, binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall be conducted in the state of Delaware, or another mutually agreed location. The arbitrator’s decision shall be binding and enforceable in any court with appropriate jurisdiction.

Mandatory Mediation: Prior to arbitration, both parties agree to first attempt to resolve disputes amicably through mandatory mediation. If mediation fails to produce a settlement within 30 days, either party may initiate arbitration proceedings.

Class Action Waiver: You explicitly waive your right to participate in or lead any class action, collective, consolidated, or representative proceeding against MedMinded. Disputes must be arbitrated individually, and you acknowledge that by agreeing to arbitration, you are waiving your right to a jury trial.

13. Assignment and Notices

  1. Your Rights: You may not assign, transfer, or delegate any of your rights or obligations under these Terms of Service without obtaining prior written consent from MedMinded, Inc. ("MedMinded"). Any attempted assignment or transfer in violation of this provision will be null and void.
  2. MedMinded’s Rights: MedMinded reserves the right to assign, transfer, or delegate its rights and obligations under these Terms at any time without notice or consent. This includes transferring ownership or control of the Services as part of a merger, acquisition, or sale of assets.
  3. Binding Effect: Subject to the above restrictions, these Terms will be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

14. No Waiver

Enforcement of Rights
  1. No Implicit Waivers: The failure of MedMinded Inc. ("MedMinded") to enforce any provision of these Terms of Service or to exercise any right under these Terms does not constitute a waiver of that right or provision.
  2. Continued Rights: MedMinded’s rights and remedies under these Terms remain effective even if MedMinded does not enforce them immediately or consistently. Each instance of enforcement or non-enforcement shall not preclude MedMinded from taking action in the future.
  3. Written Waivers: Any waiver of rights or provisions under these Terms will be effective only if made in writing and signed by an authorized representative of MedMinded.

15. Survival

The following provisions of these Terms of Service will survive the termination of your account or your access to the Services, regardless of the reason for termination:
